Terms and Conditions

These Terms and Conditions form the complete agreement of the parties regarding their business relationship with Amega Global. It is your duty and responsibility to familiarize you with your rights and obligations under these Terms and Conditions.

Together with our Amega Business Associate Program/Preferred Customer Program (BAP/PCP), our Terms and Conditions govern the manner in which you transact your business with AMEGA and Independent Business Associates(s)/Preferred Customer(s) you have referred. AMEGA reserves the right to change, at its discretion, any of these Terms and Conditions to accommodate evolving business needs, and you should read them periodically to stay abreast of any such changes.

1. Becoming an AMEGA Distributor
 
  1. Any person of 18 years of age and above (or the legal age in his/her country) can be an AMEGA Business Associate. AMEGA reserves the right to accept and/or reject any Associate referred, without providing any explanation or reason. AMEGA also reserves the right not to entertain any appeal in cases of rejection.
  2. Upon confirmation as an AMEGA Independent Business Associate, a person shall not act as an agent, partner, joint venture participant or employee of AMEGA in any transaction, nor have any expressed, implied or extensible authority to bind or make any expressed or implied representation or warranty on behalf of the Company. He/She would only be authorized to buy products from AMEGA and refer new Business Associate(s) or Preferred Customers to AMEGA in accordance with all the Terms and Conditions stated herein.
  3. All Independent Business Associates of AMEGA are eligible to benefit from commissions and/or bonuses in accordance with the BAP; and Independent Business Associate(s) are responsible for paying all taxes and tariffs applicable in their respective countries. Amega Global will deduct taxes upfront on commissions released / contra-ed in countries where it is mandated by law.

2. Your Responsibilities 
 
  1. All AMEGA Independent Business Associates must promote AMEGA products and our BAP ethically, professionally, honestly and completely to prospects and new Associates/Customers as follows:
  2. You may not sell or promote to other Independent Business Associates, products that are similar to or in competition with, AMEGA’s products and services; nor enroll AMEGA Business Associates in any other network marketing programs.
  3. No representation or sales offer or claim that is inaccurate or untruthful may be made relating to AMEGA products. Accurate information is contained in AMEGA authorized literature, and is subject to constant review and revision. It is your responsibility to obtain and use current AMEGA product literature and material.
  4. Income guarantees or representations of any kind are forbidden, including exhibition of actual or copies of commission checks. You may not make false or misleading claims, or unreasonable or intentional misrepresentations with regard to the income potential of our BAP or Products. Such claims, if directed to prospective or new Associates, can be sources of discouragement if their performance fails to meet the represented expectation within a period. The real income potential for an Associate is adequately reflected in the AMEGA website. It shall be used as the basis of income to eliminate the need or temptation to make misleading or unrealistic claims.
  5.  Amega’s Products are not intended as a Cure or Medication for any illnesses of any kind and any claims to the contrary is explicitly forbidden. Associates are not allowed to prescribe our products as Medications or Cure for ailments of any kind. Our Associates are also prohibited from demonstrating “curative powers” of our Products on any platforms.

3. Business Accounts & Its Placement
 
  1. All Amega Independent Business Associates are assigned with a Business Account (BA) with one, two or three Business Centers (BC 001,002,003) depending on the value of purchase as per the BAP. The BA is further classified as Amega Business Associate, Titanium Business Associate, or Platinum Business Associate depending on their value of purchase in accordance with the BAP.
  2. Each Business Account is identified by a unique Business Account name, 14 characters long and a combination of alphabets and numbers, and a system generated BA ID no. This BA name is final and cannot be changed for any reason. Therefore, it is your responsibility to select your BA name carefully, avoiding any issues relating to race, religion, and the law. If a legal issue arises from your BA, AMEGA shall not be held responsible. You have full responsibility to resolve such issues at your own expense.
  3. Amega Business Associate is allowed to have only one registered Business Account per country. A Business Account name registered in one country cannot be registered in another country unless Associates “Transfer” their Account to the new country by deregistering from the previous country, and registering with the new country office.
  4. Upon registering with the new Country Office, the BA is now bound by the terms and conditions prevalent in that Country complete with its legal requirements, Tax structures, BAP, Product Pricing, etc.
  5. Your BA shall remain in the Network and in the same placement in the genealogy, provided the BA is periodically renewed and there is no breach of the stipulated AMEGA Terms & Conditions.
  6. When you Sponsor an Associate, you reserve the right as SPONSOR/INTRODUCER to decide on the placement of the Business Account. You can only place the new BA under your genealogy, directly under your “Active” Business Center(s), or if placement is occupied it will automatically fall in the next available position under the line, which is known as “spillover”. Placement must be specified during the Sign Up process (for manual order) and AMEGA shall comply accordingly.
  7. Confirmation and placement of new Sign Ups are subject to the AMEGA “Spillover System” for the branches of the following Business Centers: 001,002,003,004,005,006,007.
  8. In cases where prospect sign up as Associate directly from the SPONSOR’S self-replicated website, the system will automatically placed the new BA as per default placement set by the SPONSOR in his or her CyberOffice, and if no default placement is set, the system will automatically place the new BA on the SPONSOR’S weaker leg (BC001 left or right).
  9. Any new BA can only be placed under an “active” BC of a Business Account and placement under reserve Centers is not allowed.
  10. Under the AMEGA system, an Associate is entitled to a BA with
    -Only one (1) Business Centre with no reserve centers if the initial accumulated purchase value is below USD 180 - and is referred to as an Amega Business Associate.
    -one (1) Business Centre with two (2) reserve Business Centres (BC: 002 & 003) if the initial accumulated purchase valued between USD 181 – USD 499  - as Silver Business Associate.
    -Three (3) Business Centres with four (4) reserve Business Centres (BC: 004,005,006,007) if the initial accumulated purchase valued between USD 500 – USD 899  - as Titanium Business Associate.
    -Three (3) Platinum Business Centres with four (4) reserve Business Centres (BC: 004,005,006,007) if the initial accumulated purchase valued above USD 900 - as Platinum Business Associate.
  11. The maximum payout per day per business centre under the Team Binary Commission is subjected to the status of the Business Centre. For all BAs under the enrolling as an Amega Business Associate, the maximum payout is USD 300 per day, For Business Centre(s) of TITANIUM Status, the maximum payout is USD 400 per Business Centre and for Business Centre(s) of PLATINUM Status, and the maximum payout is USD 1200 per day per business centre.
  12. Associates can “upgrade” from any Status up to PLATINUM Status within the first 21 days of activation by purchasing more products to reach a stipulated value. However only purchases made under the “Upgrade” or activation with product IDs under the “Upgrade Your Account” link in your CyberOffice will be taken into account for upgrading your account.
  13. Associates who did not upgrade to platinum within the first 21 days can alternatively upgrade their Business Account to PLATINUM Status by accumulating USD 1800 of personal sales (PBV) within one (1) calendar month at any period.
  14. Associates can independently upgrade each of their allocated Business Centres by purchasing products under the “upgrade” option or by using product IDs with a combined or individual value as stipulated in 6.9.
  15. Reserve Business centres do not carry the same status as “live” business centre and maximum payout is depends on the status of the BC on the day of the payout. Suppose a BA has 3 “Active” Platinum Headers (maximum payout USD 1200 per day/ per centre) and four (4) reserves centres, the daily payout cap for his reserves centres depends on the status to which the BC is activated (Titanium / Platinum).
  16. When a reserve Business Centre is activated, the Business Centre appears in the genealogy in Green / Blue (depending on whether the activation is at Titanium or Platinum) pushing down the first foreign centre under the Business Account and it is immediately credited with the accumulated “Carried Forward” sales.
  17. Each Business Account can have a maximum of seven (7) Business Centres if the Business Account started out as a three (3) header. All Business Accounts with one active and two reserve Centres can only have maximum of three business centres.

4. Cooling Off” Period / Cancellation
 
  1. All new Business Associate’s BA will have a “Cooling off” for a period of minimum 3 days to a maximum of 10 days for country registered BAs, and 3 days “cooling Off” period for International BAs where Amega Global does not have an entity at the time of activation.
  2. New Business Associates can withdraw from participating in BAP as an Amega Associate and request for a refund if their BA is within the cooling off period. Associate have to personally return the purchase product(s) in good order, condition and complete with the packaging to the Office or respective the Stockist with a cancellation form filled. All products return has to be in unused condition with original packing.
  3. System “Cooling Off” period can be overridden by the BA owner from the CyberOffice, when in such cases, BA cancellation and refund is not allowed and also cannot be de-activated.
  4. Amega will mail the cheque to the BA owner name within 14 days with a deduction of 10% admin charges from the amount payable, when it found the products to be in acceptable condition. No immediate refund is available in any offices.
  5. AMEGA will not entertain refunds and cancellation for products purchases from independent Stockists or Associates. In all such cases, the respective BA must approach their Stockists or Sponsors from whom the product was purchased.
  6. Stockists and Associates handling return and cancellation within “Cooling Off” period is allowed to charge a handling fees of 10% of the refund amount.
  7. Return of used products, exchange of products after “Cooling off”, returning a part of the purchased package etc. is explicitly prohibited.

5. Products Warranty
 
  1. Limited Warranty
    Amega offers a 30 days exchange policy on some entry-level products, Simply exchange the product for another of the same or higher value by topping up the difference. All such products for exchange MUST be in reseller able condition with original packing. Business Associates must personally submit the product with Product Exchange form at respective offices for an immediate exchange.
  2. Extended Warranty
    The Extended Warranty is extended to Amega Bracelets and Necklaces only due to the fact that these products are subject to heavy wear and tear. Business Associates can exchange their Products (Bracelets and Necklaces) for new ones (of same or higher value) upon a payment of USD 80 for ION Bracelets and USD 120. Such exchange is restricted to 2 times in two (2) years only and subject that the same products return for exchange as per system record.

6. Commission and Incomes
 
You, as the SPONSOR, have the option to sign up individuals as Amega Distributor with or without a Starter kit.  Associates have to upgrade their accounts with a Starter Kit in order to be eligible for Commissions.
 
  1. In Order to avail for commission, BA must qualify by sponsoring a minimum of 1 BA on each side of their Header.
  2. Only “Active” (BAs consuming a minimum of 60 BV every month) and registered BAs will be entitled for commissions. Suspended BAs and inactive BAs (have not renewed membership) will not be eligible for commission.
  3. ALL BAs must maintain their “Active” Status by consuming a minimum of 60 BV every month, in order to earn their Mega Matching Bonuses.
  4. Commissions are calculated as per the BAP in the Amega Compensation Plan. Amega will not be responsible for any of the misinterpretations or assumptions made by individuals.
  5. All commissions are calculated and deposited in US Dollars only.
  6. All commissions earned will be deposited and accumulated in their respective BAs Commission Statement.
  7. Any error in Commission Posting must be notified to Amega Global by the Business Associate via the Messenger.
  8. Commissions earned can be used to contra for Stock; however, local taxes and or earned income taxes may be imposed depending on the Laws of the Land.
  9. All commission earned cannot to transferred to another Business Account commission statement.
  10. Amega Global reserves the right to adjust or amend the Compensation plan when deemed necessary.

7. Commission Payment
 
The AMEGA IT systems automatically calculate commissions based on “Confirmed” sales and post commissions periodically (on respective days) into the respective BA Commission Statement Account.
 
  1. Fast Start Bonuses/ Sponsorship Bonuses are calculated after confirmation of sales and are posted the following day.
  2. Team Binary Commissions are calculated every day for confirmed sales and posted the following day.
  3. Mega Matching Bonuses are calculated and posted weekly every Tuesday
  4. Team Generation Bonus are calculated and posted on the first week of every month.
  5. Leadership Incentives and other Incentives posted monthly on the first week.
 
Commissions posted are supported with a comprehensive commission calculation statement. The bonus rests upon the Distributor/Customer Distributor to verify any discrepancies and report within 7 days of posting.

8. Commission Release
 
  1. All commissions that the BA is eligible for are credited into the respective Business Accounts. The Commissions will only be Released or paid out when auto commission releases are performed by the System (based on Country office requests) or manual releases requested via the AMEGA Commission Release system (CR) all other BAs.
  2. Commissions can be received by our BAs in the following ways:
    -International Debit Cards (WowPays) – For All International BAs
    - Interbank transfer (wire transfer) – For International BAs and Country Registered BAs
    - Check Deposits – For Country registered BAs
  3. For International BAs: AMEGA processes and transacts commission release every Friday for all Commission Release requests submitted by the BA before the preceding Wednesday.
  4. For International BAs: Minimum commission release amount shall be USD 120.00 and maximum release will be USD 8,000 per release via International Debit Cards (Wow Pay) for all International BAs.
  5. Administrative charges are applicable as follows.
    -For International BAs: Interbank Transfer: AMEGA shall remit commissions via Telegraphic Transfers (TT) directly to bank accounts, subject to a minimum amount USD 120.00 and maximum amount of USD 10,000. There will be an administrative charge of USD 30 for commissions released via Wire Transfer.
    -For country registered BAs: AMEGA process and transact commission release by every Friday for request submitted the previous Friday of the previous week, unless otherwise the respective Country have the auto release system.
  6. All country registered BAs will receive their commission only in the local currencies based on the exchange rate stipulated by AMEGA.
  7. For country registered BAs: AMEGA shall remit commissions via Interbank Transfer directly to bank account, subject to a minimum amount USD 60.00 and maximum amount of USD 10,000. There will be an administrative charge of between USD 5 to USD 30 per release depending on the amount.
  8. For country registered BAs: AMEGA would only facilitate commission release for registered BAs whose status is “Active”.
  9. For country registered BAs: Commission release is strictly via A) Interbank transfer 2) Local cheques / DDs, or 3) Local Debit cards (if available in the respective countries).
  10. International Debit cards (Wow Pay) is strictly forbidden for country registered BAs.
  11. Amega will not initiate any commission release for Business Accounts with outstanding balances. Individuals MUST settle all outstanding balances before commission release can be initiated.

  13. Each commission release is executed independently for each Business Account. Commission payment of different Business Accounts owned by the same Individual / Entity will not be combined.
  14. The bonus rests on the BA to inform the Company to inform Amega if the Commission Release is not reflected in your Bank Account. An Administrative fee of USD 20/- will be charged if this was due to incorrect Bank Details furnished by the BA. 
  15. Distributors registered in one country cannot release commission from another country.
  16. Only one Business Account per Business Associate will be entertained for commission release. Individuals with multiple Business Accounts (apart from the registered BA) can only contra their commission earned.
  17. AMEGA will deduct Income Earned Tax, TDS or other forms of taxes as stipulated by the Laws of the land.

9. Product Delivery 
 
  1. Amega will dispatch the products ordered upon realization of payment, and the BA will receive his / her products within a maximum of 7 days for local shipments and 14 days for international deliveries. However Amega will not be responsible for late or delayed deliveries cause by logistical issues or other causes beyond Amega’s control.
  2. Products shall be shipped to the BA by a reputed courier service to the address provided by the BA during the time of Registration. The products must be received by you personally or an authorized person. In most countries, there are no tariff charges. Where local taxes are applicable, the Stockist / BA will have to bear the same, and pay the courier or give instruction to pay such charges directly to the relevant authorities before delivery is made.
  3. Shipping charges are not included in the Product Price. However, in the event of a wrong address being given through no fault of AMEGA, additional shipping charges for receiving and re-delivery of the product shall be payable from the Business Associate’s account. In cases where GST, VAT or other taxes are applicable, the same shall be payable by the BA.
  4. Business Associates and Stockists must check and verify stocks received at the time of Collection from the Shipping Company. In case of discrepancies, the BA should inform the Company of the same via the Amega Messenger with proof of discrepancies, within 7 days upon receipt of goods.

10. Product Pricing & IDs
 
  1. All prices displayed in our International Website are the International Internet Price (IIP). The IIP is the price on which the BV is based and commissions calculated.
  2. Products prices vary from country to country depending on the local taxation and logistics involved. Domestic Prices/ Retail Prices are displayed / listed in country websites.
  3. Domestic Price (LDP) includes International Price + Domestic Handling Changes (DHC)
  4. Product prices might include DHC, GST, VAT, Sales Taxes, and/ or other form of Taxes, if there are such requirements in a country and these are not commissionable. Only the BV allocated to a Product is Commissionable.

11. Business Account (BA) Registration and Renewal Fees 
 
  1. All Business Accounts that have been activated by Stockists / other BAs using product IDs MUST register with the respective Country offices by submitting a completed BA Registration Form within 30 days of activation. This is mandatory for ALL BAs where country office exists.
  2. Business Associates registered with one country cannot register the same BA with another country; however Business Associate can register another Business Account (BA1) owned by them in another country provided that BA1 has 1 locally sponsored BA on his / her right and Left in its Genealogy.
  3. Annual Membership Fee - An annual renewal fee of USD 15 for International BAs and USD 24 for Country registered BAs will be levied for renewal of Business Accounts, provided the BA is active.
  4. An annual renewal fee of USD 15 for International BAs and USD 24 for Country registered BAs will be levied for renewal of Business Accounts, provided the BA is active.
  5. The Annual Renewal fee of USD 15 for International BAs is automatically deducted from Commission statements if there are sufficient funds by the end of the 12th month.
  6. Business Account Renewal fees of USD 12 for Country Registered BAs are automatically deducted from Commission statements if there is sufficient balance by the end of the 6th Month and the 13th Month.
  7. Business Accounts will expire on the 13th month from the month of activation, however every BA has 30 days extension (till the end of the 13th month) after which the BA will become “inactive” and does not get commission computation, and the password is automatically reset.
  8. Country Registered BAs can “Re-activate” their Business Accounts by paying the Annual Renewal fee to the respective Country offices. International BAs can “Re-activate” their Business Accounts by paying the Annual Membership Fee to Amega Global LLC.

12. Advertising & Promotion
 
  1. Advertising and promotional activities are the responsibility of the Company. Business Associates shall not advertise AMEGA products, and use any literature - written or recorded - or any other materials in any promotion that may implicate the Company in any way.
  2. Modification, alterations of Amega Corporate and product literature in not permitted, without prior permission and approval from the company.
  3. Business Associates may request - in writing - AMEGA’s authorization for any advertising or promotional activity they may deem to be strategic to AMEGA business. If an exercise is approved, the Company must review the advertising/promotional materials to be used, and give its’ written approval for the exercise and the materials.
  4. Business Associate are fully responsible for all oral and/or written statements made about the products, literature and Business Associate Program that are not supplied/authorized by AMEGA. Business Associates shall indemnify AMEGA and hold it faultless in any legal liabilities arising from their unauthorized promotional communications.

13. Resignation
 
  1. Distributors who wish to resign from Amega must submit a resignation form to the respective offices. He or she has to ensure that all dues to or from Amega are settled before tendering resignation.
  2. All BAs where the Business Associate had resigned will be “De-commissioned” and CANNOT be re-activated again.
  3. Business Associates who have resigned are allowed to join under another SPONSOR in Amega after 90 days.

14. General Business Ethics Policy
  Ethical Behavior
 
  1. AMEGA conducts its business ethically and credibly. It expects its Employees, Business Associates and Stockist to do likewise. AMEGA’s guiding principles of honesty and integrity drives its Employees in their daily activities, and shall drive Business Associates in their dealings with other Business Associates, prospective Business Associates and Customers and the Company. Any action that is intended to cause, or which may cause, AMEGA and/or its Business Associates impairment of reputation, or which is detrimental to the interests of AMEGA, shall be considered unethical and shall be grounds for termination of the offending Business Associates. Unethical practices include offers of inducement for members of one up-line in one genealogy to cross to another up-line in another genealogy.
  2. Business Associates poaching other Business Associates during Company activities shall be penalized as the Company deems fit and as follows:
    - “Freeze” a BA.
    - Termination / Suspension of BA.
    -Penalty – Commission suspension (days, weeks, months)
    -Removal of leadership status.
    -Ban from attending company activities.-
  3. Business Associates making false/unjustified claims against AMEGA, thus damaging the reputation and standing of the Company and its business, resulting in losses to the Company, shall be taken to task and the Company reserves the legal right to take legal action against the offending party.
  4. Any benefit (commission and incentives) arising from changes based on the request by Business Associates shall not be back-dated for any reason whatsoever.
  5. AMEGA reserves the right to take stringent action against any instances of controlling of down-line sales, non delivery of products where payment is made, and or any form of manipulation.
   
 

You shall earn Reward Voucher(s) by achieving Leadership Statuses as specified in the Website. These Vouchers are not transferable and can be used for redeeming products from the Company. Reward Vouchers are valid indefinitely.

 15. Authorized Communication Channel
 
  1. AMEGA reserves the right to recognize only those messages received via the AMEGA Messenger System found in the Cyber Office. Amega does not entertain personal email request or enquiry unless they are Preferred Customers who have purchased directly from an Amega Office with a Sponsor.
  2. Formal written letters and or Authorized Amega Forms (eg: Password Request Form) are also acceptable modes of communication.

16. Spamming
 

AMEGA e-mails and other communications are transmitted to registered Business Associates and Preferred Customers. AMEGA does not transmit uninvited communications, and condemns Internet spamming - the practice of sending unsolicited e-mail to as many recipients as possible, regardless of their relevance. AMEGA prohibits Employees, Business Associates from using Internet spamming to promote and market its business. The penalties for spamming are the immediate termination of the offending Employee’s services or of the offending Associate’s account. Any complaint by Business Associates and Preferred Customers against another must be in written form and directed to AMEGA for investigation. The company’s decision shall be final.

17. Termination / Suspension
 
  1. AMEGA reserves the right to terminate business with any Business Associate who violates any of these Terms and Conditions, or any statutory law in her/his country, and/or regulations that pertain to AMEGA business. Such termination may result in AMEGA exercising its right to pursue reasonable legal recourse.
  2. Any Business Associates found in breach or violation of any of these Terms and Conditions may be subjected to disciplinary action by AMEGA. Such action may include limitation of the Business associate right or the outright termination of her/his account(s). Disciplinary action may also include oral and/or written warning, suspension, and forfeiture of commissions and/or bonuses. AMEGA reserves the right to claim reimbursement from Business Associate for expenses, including legal fees and charges, resulting from the breach or violation.
  3. Out of goodwill, AMEGA would consider an appeal against such action. Its decision would be final. A Business Associate wishing to appeal against disciplinary action must do so within fourteen days of the date of disciplinary or termination notice, after which the disciplinary or termination action shall be final and conclusive.
